1. Acceptance of Terms

By creating an account, accessing, or using the ClinixAI platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Cookie Policy, and our Disclaimer (collectively, the "Agreement"). If you do not agree to all terms, you must not use the Platform.

You represent and warrant that you are at least 16 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into this Agreement. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization.

ClinixAI provides:

• Software tools for managing healthcare appointments, records, prescriptions, and communications
• AI-powered chatbot assistants for general health information organization
• Dashboard interfaces for patients, doctors, hospitals, pharmacies, labs, nurses, and ambulance services
• Communication tools between patients and healthcare providers
• Healthcare data storage and management features

ClinixAI does NOT provide:

• Medical advice, diagnosis, or treatment of any kind
• Emergency medical services
• Guarantees regarding the qualifications, competence, or availability of any healthcare provider on the Platform
• Verification of the accuracy of any medical information entered by users or healthcare providers
• Insurance coverage or billing services

3. User Accounts and Responsibilities

3.1 Account Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Types

The Platform supports multiple user roles:

• Patient: Individuals seeking to manage their health records and appointments
• Doctor: Licensed medical practitioners using the Platform for practice management
• Hospital Admin: Administrators managing hospital operations through the Platform
• Nurse: Licensed nursing professionals
• Pharmacy: Licensed pharmacy operators
• Ambulance: Emergency medical transport service operators
• Lab/Lab Technician: Licensed laboratory service providers and technicians

3.3 Healthcare Provider Verification

Healthcare providers (Doctors, Nurses, Pharmacies, Labs) are solely responsible for maintaining valid professional licenses and credentials. ClinixAI does not independently verify professional licenses or credentials. Patients should independently verify the credentials of any healthcare provider they interact with through the Platform.

3.4 Account Security

You must immediately notify us at security@clinixai.pro if you become aware of any unauthorized access to or use of your account. You are liable for any losses arising from unauthorized use of your account unless caused by our negligence.

• AI Limitations: The Platform includes AI-powered chatbot and analysis features that use artificial intelligence and machine learning. These AI systems are inherently imperfect and CAN AND DO MAKE MISTAKES. AI outputs may be inaccurate, incomplete, misleading, or factually incorrect.
• Informational Only: All AI-generated content is provided for general informational and organizational purposes only. It does not constitute medical advice, diagnosis, prognosis, or treatment recommendations.
• No Reliance: You must NOT rely on AI-generated content as a basis for making health decisions. Always consult a qualified, licensed healthcare professional for any medical concerns.
• No Guarantee: We make no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of any AI-generated content.
• User Responsibility: You accept full responsibility for any decisions or actions taken based on AI-generated content. ClinixAI shall have no liability whatsoever for damages arising from reliance on AI outputs.
• Emergency Situations: NEVER use AI features in an emergency. In a medical emergency, call your local emergency services immediately (e.g., 1122, 115, or equivalent).

You agree NOT to:

• Use the Platform for any unlawful purpose or in violation of any applicable law
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Register as a healthcare provider without valid professional credentials
• Enter false, misleading, or fraudulent medical information
• Attempt to gain unauthorized access to any part of the Platform or other users' data
• Interfere with or disrupt the Platform's infrastructure or security features
• Use automated tools (bots, scrapers) to access the Platform without our written permission
• Harvest, collect, or store personal data of other users without their consent
• Use the Platform to transmit malware, viruses, or other harmful code
• Attempt to reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform to spam, harass, or send unsolicited communications

6. Intellectual Property

The Platform, including its code, design, logos, trademarks, text, graphics, and all other content ("ClinixAI Content") is owned by or licensed to ClinixAI and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform or ClinixAI Content without our express written permission.

You retain ownership of any content you submit to the Platform (e.g., your health records, messages). By submitting content, you grant ClinixAI a non-exclusive, worldwide license to store, process, and display that content solely for the purpose of providing the Platform services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• CLINIXAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.
• CLINIXAI SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR INJURIES ARISING FROM: (a) ANY HEALTHCARE DECISIONS MADE BASED ON INFORMATION PROVIDED THROUGH THE PLATFORM; (b) THE CONDUCT, ACTIONS, OR INACTIONS OF ANY HEALTHCARE PROVIDER ON THE PLATFORM; (c) ANY AI-GENERATED CONTENT; (d) UNAUTHORIZED ACCESS TO YOUR ACCOUNT DUE TO YOUR FAILURE TO MAINTAIN SECURITY; (e) ANY INTERRUPTION OR CESSATION OF THE PLATFORM.
• OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless ClinixAI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any content you submit to the Platform; or (e) your negligent or wrongful conduct.

9. Termination

• You may terminate your account at any time through the Platform settings or by contacting us
• We may suspend or terminate your account at any time for violation of these Terms, with or without notice
• Upon termination, your right to access the Platform ceases. We may retain your data as described in our Privacy Policy
• Sections 4 (AI Features), 7 (Limitation of Liability), 8 (Indemnification), and 10 (Governing Law) survive termination

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration authority in the jurisdiction where ClinixAI is registered.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform and/or via email. Your continued use of the Platform after modifications take effect constitutes acceptance of the updated Terms. If you disagree with any modifications, you must stop using the Platform and close your account.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and ClinixAI regarding the use of the Platform and supersede all prior agreements and understandings.
